Our Contracts team manages the full lifecycle of commercial contracts for clients – from first review through to execution. You'll be the direct day-to-day contact for sophisticated investment fund and asset manager clients, working alongside fellow lawyers and paralegals. As a Freelance Consultant on the Contracts team, you'll work to: - Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times - Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers - Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations - Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture - Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools - About You - Commercially minded and client-focused. You communicate legal advice crisply and concisely, building strong relationships with sophisticated financial services clients. - Experienced in transactional law. 6-8+ PQE, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters). - Familiar with financial services. You have experience working with asset managers, investment banks, or other financial services firms and understand their expectations. - Law Degree and licensed to practice. You are licensed to practice law in any APAC Jurisdiction - Must be based in APAC time zone, due to our client service needs - Tech-savvy and adaptable. You are comfortable working with and evolving a legal technology suite (e.g. AI tools, HighQ), and an interest in legal tech or AI is a strong plus. - A self-starter who owns their work.
