Investment Funds Lawyer – Tokenised RWAs (Part Time)

The Role

The Investment Legal team at Trilitech is responsible for making sure the capital we deploy into tokenised real-world assets (RWAs) is properly protected. We focus on legal due diligence and negotiation on RWA investments, with tickets typically between $1M and $10M.

This is an ad hoc, hourly call-off engagement — not a permanent or full-time role. You'd be our go-to funds lawyer, stepping in when a deal lands and turning reviews around fast.

If you enjoy getting under the skin of fund documentation, are passionate about tokenisation and digital assets, and are pragmatic, commercial and quick to respond, then you are the kind of person we are looking for. You will be working with an equally talented and innovative team with the goal of making sure every investment we make has a clear route to exit and real recourse if things go wrong.

Our Team

At Trilitech, we drive innovation in Web3 by empowering developers and creators to build pioneering solutions on the Tezos blockchain. Our expertise spans core blockchain development, decentralised applications, infrastructure tooling, developer experience, and incubation programs, with a strong focus on cultural projects, capital markets, and gaming. We're dedicated to redefining possibilities and setting new standards within the rapidly evolving blockchain space.

The Technology

Tezos is an open-source blockchain known for its flexibility, security, and unique self-evolving capabilities. With innovations like Etherlink —an EVM-compatible Layer 2— Tezos is scaling rapidly and attracting a growing developer community. Its ecosystem supports diverse projects, from Uranium.io, a decentralized marketplace for tokenized uranium, to leading digital art platforms like Objkt.com.

We encourage you to explore the Tezos website and follow us on Twitter & Discord to learn more about the project.

Who We're Looking For

We're looking for people who are proactive and resourceful — those who enjoy turning ideas into reality. You'll have plenty of autonomy, and the chance to make a meaningful impact from day one. Bring your curiosity, energy, and determination, and you'll play a key role in our growth journey.

If you're comfortable taking initiative, enjoy exploring new possibilities, and are passionate about crypto and working in a fast-paced environment, you'll feel right at home here.

What You'll Do

Legal due diligence on tokenised RWA documents — reviewing offering memoranda and prospectuses, token terms and conditions, subscription agreements, protocol and whitelisted-user agreements, and tripartite or assurance letters with custodians and auditors.

Red-flag reports focused on exit and recourse — short, decision-ready reports covering redemption rights (and how much discretion the issuer keeps to refuse or suspend them), extraordinary-event and termination clauses, whether reserve assets are segregated and bankruptcy-remote, limitation-of-liability clauses and reliance waivers, and transfer restrictions.

Governing law and dispute resolution — assessing governing law and forum, often offshore arbitration (BVI, Cayman), and what it means for our ability to actually enforce.

Counsel-to-counsel negotiation — holding calls with issuers' lawyers to negotiate side letters, such as binding redemption commitments, MFN and information rights.

Clarifying ambiguous provisions — pinning down the issuer's position on unclear drafting and getting it on the record.

Partnering with in-house investment legal — working closely with Giti, who leads investment legal, and turning reviews around within a few working days so deals keep moving.

Smart contract, operational and tokenomics review are outside this mandate.

What You'll Need

Previous experience as an associate or counsel in a fund formation, asset management or financial regulatory practice

Strong background as a qualified lawyer [jurisdiction TBC — e.g. England & Wales]

Evidence of hands-on work on digital assets and tokenisation — ideally tokenised funds or RWAs
